Dernek Kavramı

Günümüz sosyal yaşamında önemli bir yere sahip olan dernekler, Türk Medeni Kanunu’nun 56. maddesinde yapılan tanımıyla “gerçek yada tüzel en az yedi kişinin kazanç paylaşma dışında belirli ve ortak bir amacı gerçekleştirmek üzere, bilgi ve çalışmalarını sürekli olarak birleştirmek suretiyle oluşturdukları, tüzel kişiliğe sahip birey topluluklarıdır.”
 Anayasa’da koruma altına alınan sert çekirdek haklardan olan düşünceleri açıklama özgürlüğü ve toplanma özgürlüğüne dayanarak Anayasa’nın 33. maddesinde dernek kurma özgürlüğü anayasal güvence altına alınmıştır. Bu sebeple dernekler konusunda devletin pozitif yükümlülüğü vardır. Devlet, bireylerin dernek kurma özgürlüklerini kısıtlamayarak, gerekli kolaylıkları sağlamak borcu altındadır.

Dernek Türleri

Dernekler, faaliyet alanlarına göre farklı kategorilere bölünür. Kamuoyunda en bilinen dernek türü olarak ise kamu yararına çalışan derneklerdir. Kamu yararına çalışan dernek sıfatı, kuruluş ile birlikte değil sonradan elde edilen bir sıfattır. Bir derneğin kamu yararına çalışan dernek statüsüne sahip olabilmesi için Dernekler Kanunu’nun 27. maddesinde iki koşul öngörülmüştür; öncelikle derneğin en az bir yıldır faaliyette bulunması gerekmektedir, ikinci koşul ise derneğin tüzüğünde yer alan amacının ve bu amaca ulaşmak için gerçekleştirdikleri faaliyetlerin topluma yararlı nitelikte olmasıdır.

Kamu yararına çalışan dernek statüsünü elde etmek isteyen dernek, valilik görüşü ile İçişleri Bakanlığı’na başvurur. Başvuru sonrası uygun görülürse eğer Cumhurbaşkanı Kararnamesi ile dernek kamu yararına çalışan dernek sıfatını ve konumun elde eder. Kamu yararına çalışan dernek olmanın dernekler açısından birtakım ayrıcalıkları vardır. Normalde derneklerin mülki idare amirinin izni olmadığı sürece yardım toplamaları yasaktır ancak kamu yararına çalışan dernekler izin almaksızın yardım toplama yetkisine sahip olabilmektedir.
 Ayrıca diğer derneklerin aksine amacını gerçekleştirmek amacıyla ticari işletme işlettikleri takdirde tacir olarak sayılmamakta ve tacir sayılmaya bağlı sonuçlara tabi olmamaktadır. Diğer bir ayrıcalık ise emlak vergisi, veraset ve intikal vergisi ve katma değer vergilerinden muaf olunmasıdır. Kamu yararına çalışan dernekler her iki yılda bir denetime tabi olurlar ve bu denetim sonucunda kamu yararına uygun olarak faaliyette bulunmadıklarının tespit edilmesi durumunda kamu yararına çalışan dernek sıfatlarını kaybederler.

Dernekler gruplandırılırken yapılan bir diğer ayrım ise ticari işletme işletip işletmedikleri üzerinden yapılmaktadır. Medeni Kanun’un 56. maddesinde derneklerin tanımı yapılırken belirtildiği üzere, gelir paylaşmak amacıyla dernek kurulamaz. Bununla birlikte, dernekler kuruluş amaçlarını gerçekleştirebilmek için maddi kaynaklara ihtiyaç duymaktadır. Medeni Kanun’un 99. maddesinde belirtildiği gibi dernek gelirleri üye ödentisi, dernek faaliyetleri sonucunda veya dernek malvarlığından elde edilen gelirler ile bağış ve yardımlardan oluşur.
 Kanunda sayılanlar dışında derneklerin gelir elde edebilmesi için elinde olan bir diğer imkan ise ticari işletme işletilmesidir. Derneklerin geliri yalnızca derneğin tüzüğünde belirtilen amacı gerçekleştirmek için kullanılması şartıyla ticari işletme işletebilmelerine kanun izin vermiştir.
Türk Ticaret Kanunu’nun 16. maddesine göre, ticari işletme işleten dernekler tacir sayılırlar ve eğer işletmiş oldukları ticari işletmenin sicile kaydı zorunlu ise ticaret siciline kaydedilirler. TTK’ya göre tacir sayıldıkları için de dernekler, tacir sayılmanın getirdiği tüm sonuçlara katlanmak zorundadır. Bu durumun istisnası ise kamu yararına çalışan dernekler işlettikleri ticari işletme nedeniyle tacir sayılmaları gerekmesine rağmen tacir sayılmamaktadır.

Dernekler Kanunu’nda düzenlenen bir diğer dernek tipi ise çocuk dernekleridir. Dernekler Kanunu’nun üçüncü maddesinde düzenlenen çocuk dernekleri, çocukların toplumsal, ruhsal, ahlakî, bedensel ve zihinsel yetenekleri ile spor, eğitim ve öğretim haklarını, sosyal ve kültürel varlıklarını, aile yapısını ve özel yaşantılarını korumak ve geliştirmek amacıyla yasal temsilcilerinin izniyle yalnızca on iki ile on sekiz yaş arasındaki küçüklerin üye olabildikleri derneklerdir. Çocuk derneklerine tüzel kişiler ve on sekiz yaşından büyükler kurucu ve üye olamazlar.

Derneklerin üst kuruluşları olan federasyon ve konfederasyon Medeni Kanun’da düzenlenmiştir (TMK md. 96-97). Buna göre; kuruluş hedefleri aynı olan en az beş dernek bir araya gelerek federasyonu, kuruluş amaçları aynı olan en az üç federasyon ise birleşerek konfederasyonu oluşturur. Federasyon ve konfederasyonlar, kurulabilmek için gerekli olan asgari sayıların altına düştüğü takdirde üç ay içerisinde tekrar asgari şartları sağlamazlar ise konfederasyon ve federasyon kendiliğinden sona erecektir. Dernekler bağlı oldukları federasyonların genel kurulunda üç üye ile, federasyonlar da konfederasyonların genel kurulunda aynı şekilde temsil olunurlar.

Association Concept


Associations, which have a great importance in today’s social life, are defined in Article 56 of the Turkish Civil Code as “a legal entity, formed by at least seven real or legal persons, by constantly combining their knowledge and work, in order to achieve a specific and common purpose other than sharing profits. groups of people.” Freedom of association is constitutionally guaranteed in Article 33 of the Constitution, based on the freedom of expression and freedom of assembly, which are among the hard core rights protected in the Constitution. For this reason, the state has a positive obligation on associations. The state is under the obligation to provide the necessary facilities by not restricting the freedom of association of individuals.


Association Types


Associations are divided into different categories according to their fields of activity. The most well-known type of association in the public is the associations working for the public benefit. The title of association working for the public benefit is not acquired together with the organization, but is an adjective acquired afterwards. In order for an association to have the status of an association working for the public interest, two conditions are stipulated in Article 27 of the Law on Associations; First of all, the association must have been operating for at least one year, and the second condition is that the purpose of the association in its statute and the activities carried out to achieve this aim must be beneficial to the society.

The association, which wants to obtain the status of an association working for the public benefit, applies to the Ministry of Interior with the opinion of the governorship. If it is deemed appropriate after the application, the association acquires the title and position of an association working for the public interest, with the Presidential Decree. Being a public benefit association has some privileges for associations. Normally, associations are prohibited from collecting donations without the permission of the local authority, but public benefit associations may be authorized to collect donations without obtaining permission. In addition, unlike other associations, if they operate a commercial enterprise in order to realize their purpose, they are not considered as merchants and are not subject to the consequences of being considered a merchant. Another privilege is the exemption from property tax, inheritance and gift tax and value added taxes. Associations working for the public benefit are subject to an audit every two years and if it is determined that they do not operate in accordance with the public interest as a result of this audit, they lose their title of association working for the public interest.

Another distinction made when grouping associations is based on whether they operate commercial enterprises or not. As stated in Article 56 of the Civil Code while defining associations, associations cannot be established for the purpose of sharing income. However, associations need financial resources to achieve their founding goals. As stated in Article 99 of the Civil Code, the income of the association consists of member fees, income obtained as a result of the activities of the association or from the assets of the association, donations and aids. Apart from those listed in the law, another opportunity for associations to generate income is the operation of commercial enterprises. The law allows associations to operate commercial businesses, provided that their income is only used to achieve the purpose specified in the association’s statute.

According to Article 16 of the Turkish Commercial Code, associations operating commercial enterprises are considered merchants and if the registration of the commercial enterprise they have operated is mandatory, they are registered in the trade registry. Since they are considered merchants according to the TCC, associations have to bear all the consequences of being considered a merchant. The exception to this situation is that associations working in the public interest are not considered merchants, although they should be considered as merchants due to the commercial enterprise they operate.

Another type of association regulated in the Law on Associations is children’s associations. Children’s associations regulated in the third article of the Law on Associations can only be established with the permission of their legal representatives in order to protect and develop children’s social, spiritual, moral, physical and mental abilities, sports, education and training rights, social and cultural assets, family structure and private lives. These are associations that minors between the ages of eighteen can become members of. Legal persons and persons over the age of eighteen cannot be founders or members of children’s associations.

The federation and confederation, which are the parent organizations of the associations, are regulated in the Civil Code (TMK art. 96-97). According to this; At least five associations with the same founding goals come together to form the federation, and at least three federations with the same founding goals form the confederation. If federations and confederations do not meet the minimum requirements again within three months, if they fall below the minimum numbers required to be established, the confederation and federation will automatically terminate.

Associations are represented by three members in the general assembly of the federations to which they are affiliated, and federations are represented in the same way in the general assembly of the confederations.
